This document harmonizes the Client Services Package (marketing/cdss-application/client-services-package.pdf) with website-facing terms. California-licensed counsel must finalize before any version is published on abeo.health or used as a binding agreement.
By engaging Abeó Health, LLC ("Abeó," "we," "us," "our") for home care services, by accessing the abeo.health website, or by using any of our mobile applications ("Abeó Care," "Abeó Connect," "Abeó Dispatch," or future apps), you ("Client," "Family Member," "User," "you") agree to these Terms and Conditions of Service ("Terms"), our Privacy Policy (see privacy-policy.md), and any applicable Service Agreement signed at intake.
If you do not agree to these Terms, do not use our website, mobile applications, or services.
Abeó Health, LLC is a California-licensed Home Care Organization (CDSS license HCS 281) under the Home Care Services Consumer Protection Act (Health & Safety Code §1796 et seq.). We provide non-medical home care, non-emergency medical transportation, senior placement guidance, and care coordination services in Orange County, California, with planned expansion across the Living Systems Network roadmap (marketing/abeo-full-vision.pdf, marketing/phase-gate-execution.md).
Abeó Care provides non-medical home care services delivered by Home Care Aides (HCAs) registered on the California Home Care Aide Registry (HCAR), in accordance with the client's individualized care plan. Services may include:
Abeó Connect provides a dedicated coordinator and family-facing dashboard to manage the client's care journey, including: scheduling, family communication, vendor coordination, and senior placement guidance when home is not the right destination.
Published pricing is available in marketing/rate-card.md and on the abeo.health website. Pricing is subject to change with reasonable notice. Specific pricing for the client's care plan will be documented in the Service Agreement signed at intake.

Before services begin, the client (or their authorized representative) will complete the Client Intake Package (marketing/cdss-application/client-services-package.pdf), which includes:
Abeó reserves the right to refuse or terminate service if: (a) the client's needs exceed the scope of non-medical home care; (b) the home environment poses a safety risk to caregivers; (c) the client or family engages in abusive, threatening, or harassing behavior toward staff; (d) payment is materially overdue; (e) services cannot be safely provided under California regulations.
All Abeó Home Care Aides are:
Clients agree not to:
• Request services outside the agreed care plan or caregiver scope
• Offer or provide gratuities or gifts in excess of $25 per occasion (per CDSS guidance)
• Engage caregivers privately outside Abeó (i.e., no "side deals" — caregivers are Abeó employees and may not contract directly with clients during their employment with us)
• Discriminate against caregivers based on protected categories (race, religion, national origin, gender, sexual orientation, disability, etc.)
Abeó bills weekly for services rendered, unless an alternative billing schedule is agreed to in the Service Agreement. Invoices are sent via email to the client's designated billing contact.
Accepted methods: ACH bank transfer, credit card (with 3% processing fee), check. Auto-pay enrollment is available and encouraged.
Payment is due within 14 days of invoice date. Past-due accounts (30+ days) may incur a 1.5% monthly late fee and may result in service suspension until paid.
Abeó accepts direct payment from clients and may, at our discretion, accept payment from:
• Long-term care insurance plans
• Medicare Advantage supplemental benefit plans (for eligible NEMT services in Phase 2+)
• Veterans benefits (Aid & Attendance, when applicable)
• Medi-Cal (for eligible NEMT services in Phase 2+)
We will assist with benefit verification and claim documentation but do not guarantee third-party reimbursement.
Care visits: 24-hour notice required to cancel a scheduled visit without charge. Less-than-24-hour cancellations charged at 50% of the visit fee. Less-than-2-hour cancellations charged at 100%.
Rides (Phase 2+): 24-hour notice for full refund. Less-than-24-hour cancellations charged at 50%.
Senior placement: No cancellation fee.
Either party may terminate the Service Agreement with 14 days' written notice. Abeó reserves the right to terminate immediately for non-payment, safety concerns, or violations of these Terms. Client records retention follows California Health & Safety Code §1796.20.
Our handling of client and family data is governed by our Privacy Policy (privacy-policy.md), which incorporates HIPAA, CCPA / CPRA, and California-specific privacy rules.
Clients receive Abeó's HIPAA Notice of Privacy Practices at intake (included in the Client Services Package). The Notice explains how we collect, use, and disclose Protected Health Information (PHI).
Client and family data is stored on secure infrastructure operated by Abeó and our technology partner (mythOS infrastructure). We implement administrative, physical, and technical safeguards consistent with HIPAA Security Rule requirements.
When abeoOS Insights goes live (Phase 4 milestone, target Year 3), aggregated and de-identified outcomes data may be used for service improvement, public health research, and (where consented) third-party data partnerships. Any individual-level data sharing requires explicit, separate, written consent from the client. This is governed by our Privacy Policy and Information Use Consent (separate document).
Abeó is a Mandated Reporter under California Welfare & Institutions Code §15630 (elder and dependent adult abuse). Our caregivers and staff are trained to recognize and report suspected abuse, neglect, or self-neglect to Adult Protective Services (APS) or law enforcement as required by law. Reporting may occur with or without the client's or family's consent.
ABEÓ CARE IS A NON-MEDICAL HOME CARE SERVICE. We do not provide medical care, medical diagnosis, medical treatment, or medical advice. For medical emergencies, call 911. For medical questions, contact the client's physician.
While Abeó strives to provide compassionate, professional care, we cannot guarantee specific health outcomes, recovery timelines, or quality-of-life improvements. Client wellbeing depends on many factors outside our control.
We make best efforts to match clients with caregivers who are a strong fit. If a particular caregiver is not the right match, the client may request a re-match within 48 hours at no additional cost. We cannot guarantee any specific caregiver's availability for any specific shift.
For services we coordinate but do not directly provide (e.g., Uber Health rides for ambulatory transport, partner senior living facilities for placement), the third-party provider's terms apply to that portion of the service. We are not liable for third-party performance.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ABEÓ'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL BE LIMITED TO THE TOTAL FEES PAID BY THE CLIENT TO ABEÓ DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION DOES NOT APPLY TO LIABILITY ARISING FROM GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUDULENT ACTIONS BY ABEÓ. Some jurisdictions do not allow the exclusion or limitation of certain liabilities; in such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
The Client agrees to indemnify and hold Abeó harmless against any claims, damages, or expenses (including reasonable attorneys' fees) arising from: (a) the Client's breach of these Terms or the Service Agreement; (b) the Client's misrepresentation of facts at intake (e.g., undisclosed medical conditions, behavioral risks); (c) any injury or damage caused by the Client to caregivers, staff, or property.
Users of abeo.health, the Abeó Care app, the Abeó Connect (Family) app, the Abeó Dispatch (Caregiver) app, or any future Abeó application agree to use the services only for lawful purposes and in compliance with these Terms.
Users are responsible for maintaining the confidentiality of any access phrases, passwords, or login credentials. Users must immediately notify Abeó of any unauthorized access.
Users may not reverse engineer, decompile, disassemble, or attempt to derive the source code of any Abeó application.
The Abeó name, logo, mascot, "Care, coordinated.," and all related marks are trademarks of Abeó Health, LLC. The Abeó website, applications, and all content (text, graphics, software, data) are protected by copyright and other intellectual property laws.
Abeó's technology infrastructure runs on the mythOS narrative coherence engine, operated by StarHub Studios PBC. This relationship is disclosed in our Privacy Policy. Use of Abeó services constitutes consent to data flowing through mythOS infrastructure subject to our Privacy Policy and HIPAA Business Associate Agreements.
We may update these Terms from time to time. Material changes will be communicated to active clients via email and posted on abeo.health with at least 30 days' notice before taking effect. Continued use of services after the effective date constitutes acceptance of the revised Terms.
We encourage clients to first contact us directly to resolve any concerns. Most issues can be resolved through direct conversation with the client's coordinator or a senior manager.
If informal resolution fails, the parties agree to attempt mediation in Orange County, California, before pursuing arbitration or litigation.
Any dispute not resolved through mediation shall be resolved by binding arbitration in Orange County, California, before a single arbitrator under the JAMS Streamlined Arbitration Rules. The parties waive any right to a jury trial. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction to prevent immediate and irreparable harm.
The parties agree to bring claims only in their individual capacity. No class actions, class arbitrations, or representative actions.
Nothing in these Terms limits any non-waivable rights you have under California law, including the California Consumer Rights Act, Right of Repair, or other applicable consumer protection statutes.
